This is a hybrid role; Hybrid colleagues work a mix of in-office and virtual days Leaders and colleagues will plan common days for in-person connection, collaboration, and events.
How will you make an impact in this role?
As a member of the Corporate Secretary’s Office (CSO) of American Express, the CSO Paralegal position will provide legal assistance and operational support for the Corporate Secretary’s Office.
Responsibilities will include:
Assisting with governance functions, including the maintenance of minute books, agendas, corporate seals, stock certificates, officer and director rosters, signatory rosters, and corporate registrations and filings.
Assisting with preparation and distribution of materials for board and shareholder meetings, including notices, agendas, resolutions, and meeting minutes.
Preparing officer certificates, powers of attorney, contracts, and other corporate documents for signature, and obtaining signatures of company executives for such documents.
Assist with governance and regulatory compliance, reporting and filing requirements, such as NYSE notifications and Section 16 filings (Forms 3, 4 and 5 and Form 144), and with the management of company policies owned by the Corporate Secretary’s Office.
Recognizing and properly escalating significant matters.
Providing support to CSO attorneys and other internal stakeholders, as needed.
Support the preparation of the proxy statement and annual meeting of shareholders.
Minimum Qualifications:
Prior experience in corporate governance/securities law at a public company or law firm.
Experience supporting board and committee meetings, minutes and resolutions preferred.
High level of administrative and organizational skills, including excellent spoken and written communications skills.
Punctual and reliable, with initiative and close attention to detail.
Demonstrated ability to work with a sense of urgency and under pressure, as needed to handle multiple tasks and prioritize effectively.
Ability to interact effectively and diplomatically with all levels of management across the organization.
Ability to work effectively in a complex environment with a high degree of collaboration.
Must be able to work within a team environment or independently, as required.
Strong proficiency with wide array of software, online systems, and collaboration tools; knowledge of MS Word, Outlook, and Excel required.
Notary public or ability to become a notary.
Experience with Computershare Section 16 Filer Manager, PowerPoint, Ariba, and Concur preferred.
Bachelor’s degree and strong academic record.
Qualifications
Salary Range: $55,000.00 to $105,000.00 annually bonus benefits
